At the SEC’s Annual Government-Small
Business Forum on Capital Formation (“Forum”), held on
September 20, 2004 at the SEC’s headquarters for the first
time, a topic receiving a great deal of discussion and
attention was the state of readiness for compliance with
Section 404 of the Sarbanes-Oxley Act of 2002 (“SOX
404”) by small public companies.
Many of the management
of the small public companies in attendance expressed
concern in dealing with the costs of compliance with the
Sarbanes-Oxley Act in its entirety.
The data accumulated and distributed at the Forum
included the following estimated costs and resource
